BRANCHEZ-VOUS! appoints former director as head of investor relations
Montréal, June 27, 2006 -- BRANCHEZ-VOUS! inc. (TSX Venture: BZV) has appointed Mr. Nicholas Powell as a consultant in charge of investor relations for the next two years, effective as at July 1st, 2006. Mr. Powell was previously a member of the board of directors.Mr. Powell will receive 500,000 purchase share options to be released over the next 24 months, at an exercise price of $ 0.15 per share. Mr. Powell will receive no monetary compensation and for the time being has agreed to absorb all related expenses.
"Nicholas Powell is the ideal candidate to fulfill this role for multiple reasons", explains Patrick Pierra, CEO of BRANCHEZ-VOUS! "He played a critical role in raising our private placements, he is well aware of our shareholder base and, prior to being involved with our company, he spent over a decade working in institutional equities with top investment banks, both here and abroad. Our board of directors felt the timing was appropriate to have someone dedicated to this role and he can get our story out."
Nicholas Powell is a Montreal-based businessman and was a member of BRANCHEZ-VOUS!'s board of directors from 1999 to 2005. He previously worked with Merrill Lynch / Midland Walwyn Capital Corp and as director at CIBC Wood Gundy Securities Corp. in New York; with Bunting Warburg (UBS), as Vice-president, Canadian institutional equity sales for US, in Toronto; and with Barclays de Zoete Wedd in Montreal, New York and London, England. Mr. Powell owns a little less than 1 million shares of the corporation, or approximately 3 % of all common shares.
He will handle requests for information from shareholders and potential investors, convey publicly disclosed information about the corporation to the investing community and arrange meetings with management.
Due to the accounting treatment of options, these must be expensed and are considered a non cash item. The non cash cost to the corporation for the service agreement with Mr. Powell is expected to be approximately between $40,000 and $60,000 over the two years.
