BRANCHEZ-VOUS! To trade on CDNX under symbol BZV
Montréal, January 16, 2001 -- BRANCHEZ-VOUS! Inc., previously known as Invention Media Inc., will begin trading on the Canadian Venture Exchange (CDNX) on Wednesday, January 17. The shares will trade under the symbol BZV. This represents the final step of a process that began with a reorganization agreement signed with Fairstar Explorations Inc.The agreement called for a transaction in which the Fairstar shareholders of record on Monday, January 15, 2001 received, by way of dividend, an aggregate of 1,503,856 shares, representing approximately 6%, of the newly created public entity. The balance of 23,560,405 shares, representing approximately 94%, remains in the hands of the shareholders of Invention Media Inc. There are a total of 25,064,261 shares outstanding. Invention Media Inc. has changed its name to BRANCHEZ-VOUS! Inc. in order to highlight one of its flagship products, the Internet site BRANCHEZ-VOUS! (www.branchez-vous.com), Quebec's largest independent portal. The company operates a network of more than 15 proprietary French language Web sites known as 'Réseau BRANCHEZ-VOUS!' According to the most recent MediaMetrix Canada report (November, 2000) concerning French Canada's at home Internet traffic, the network reaches 560,000 unique visitors. The company's site MonCourier.com (www.moncourier.com) is the largest Quebec based free e-mail service with over 130,000 regular users. The name Invention Media will now become the name of the Internet advertising representation division. This division represents the company's sites as well as a group of non proprietary sites. Combined these sites make up French Canada's largest Internet network. Representing over 30 Quebec based sites, these generate over 20 million page views per month and have an estimated reach of 25% of Quebec's French language Internet audience. BRANCHEZ-VOUS! Inc.'s business activities originated in September, 1995. It is a founding member of the Bureau de la publicité sur Internet au Québec (BPIQ) and is a member of the Internet Advertising Bureau of Canada (IAB Canada). The company's financial year end is December 31. From January 1, 1999 to December 31, 1999 revenues were $617,308 (audited). For the nine months ended September 30, 2000 revenues were $696,796 (unaudited). On April 12, 2000 the company closed a private placement of $2.2 million. The majority of these funds came from partners of Warburg Pincus, a US fund management group based in New York and controlled by Credit Suisse.
